T&C
General Terms and Conditions for the Ticket Online Shop of
Rapunzel Naturkost GmbH
1. Scope of application, conflicting terms
1.1 These General Business Terms and Conditions (“Terms & Conditions”) apply to all ticket purchase contracts that we (“Rapunzel“, “we”, “us”) conclude with our customers through the online shop, including the underlying offers and acceptance confirmations.
1.2 These Terms & Conditions apply in relation to natural persons as defined in Sec. 13 BGB (German Civil Code), who enter into the contract with us for purposes that predominantly are outside their trade, business or profession (“consumer(s)”), as well as in relation to traders within the meaning of Sec. 14 BGB (consumers and traders hereinafter the “Customer(s)”).
1.3 These Terms & Conditions apply exclusively. Any Customer terms and conditions conflicting with or diverging from these Terms & Conditions will not be accepted, except as expressly approved by us.
2. Offer (order), acceptance, formation of contract, contract text, contract language, prices
2.1 The presentation of tickets in our online shop is not a legally binding offer but merely a non-binding request for Customers to submit an offer.
2.2 To place an order, Customers must complete the following steps:
(a) Customers can select the tickets they wish to purchase and the ticket quantity in the online shop and add the tickets to their virtual shopping cart by clicking the button “Add to basket”. In the order overview, which can be accessed by a click on the shopping cart icon at the top of the page, Customers can change this selection at any time until they submit their order, for example by changing the ticket quantity, removing tickets by clicking “X”, or abandoning the order process as a whole.
(b) After checking the box “I accept the Terms and Conditions” and then clicking “Continue”, Customers are directed out of the order overview and asked to either click the button “Log in” to log in as a user by entering their user data, to click the button “Register” to create a user account, or to click the button “Continue as a guest” to proceed with the order as a guest.
(aa) Customers that log in with their user account will be taken directly to their order overview. If the Customer address details provided at registration are not the same as the invoicing and shipping address, the Customer can correct the address data by clicking the button “Change address” in the order overview.
(bb) Customers that opt to register as a user will be taken to the “Registration” page and asked to provide all details required to process the order (in particular their name, email address and address). By clicking the button “Register” and then confirming the given email address, Customers complete their registration and can continue the order process as logged in users in the order overview. If the address details provided at registration are not the same as the Customer invoicing and shipping address, the Customer can correct the address data by clicking the button “Change address” in the order overview.
(cc) Customers that opt to proceed as a guest will be forwarded to the “Guest” page where they are asked to provide all details required to process their order (in particular their name, email address and address). By clicking the button “Continue as a guest”, Customers submit their details and will be taken to their order overview.
(c) As a guest or logged in user, Customers – after checking the box “I accept the Terms and Conditions” – submit a binding order (“offer” within the meaning of Sec. 145 BGB) for the tickets in their shopping cart by clicking the button “Place your binding order” on the “Order overview” page.
2.3 We will confirm the receipt of the order to the Customer by email promptly upon receiving the order (“order confirmation”). This order confirmation at the same time serves as our acceptance of the offer. An effective purchase contract is concluded upon acceptance of the offer.
2.4 We will store the text of the contract.
2.5 Customers may print out and save the text of the contract and these Terms & Conditions.
2.6 The contract is concluded in German or English, at the Customer’s choice.
2.7 The prices displayed on our internet site https://ticket.rapunzelwelt.de/ at the time of the Customer’s order apply to the offered tickets. The prices are final prices inclusive of statutory value-added tax.
3. No right of withdrawal
On the website https://ticket.rapunzelwelt.de/, Rapunzel offers tickets relating to leisure activities within a specific date or period of time. There exists no right of withdrawal, Sec. 312g(2) No. 9 BGB.
4. Payment, payment procedure, payment due date
4.1 We accept payment by
· PayPal;
· Pay Now with Klarna; or
· credit card (Visa/Mastercard).
The Customer is advised that Rapunzel at any time may deactivate specific payment methods and exclude them from use.
4.2 Customers that opt for PayPal will be directed to the website of payment services provider PayPal (Europe) S.à.r.l. et Cie (22-24 Boulevard Royal, L-2449 Luxembourg). There, Customers may choose between authorising the payment as a registered PayPal user or as an unregistered user by entering the details of their (valid) credit or debit card. The Customer’s bank account will be debited within a short time after completing the payment process. Further information and instructions are provided to the Customer during the payment process.
4.3 Customers that opt for Pay Now with Klarna will be directed to the website of payment services provider Klarna Bank AB (publ) (Sveavägen 46, 111 34 Stockholm, Sweden). To pay the invoiced amount, Customers must be registered or register with Klarna and have an active online banking account. To make the payment, Customers must prove their identity and confirm the payment instruction. The Customer’s bank account will be debited within a short time after completing the payment process. Further information and instructions are provided to the Customer during the payment process.
4.4 Customers that opt for payment by credit card (Visa/Mastercard) will be asked to enter the details of their (valid) credit card (Visa or Mastercard). If the Customer then authorises the payment, the amount will be reserved on the Customer’s card immediately after completing the payment process. The Customer’s bank account will be debited within a short time. Further information and instructions are provided to the Customer during the payment process.
4.5 The purchase price falls due for payment upon the conclusion of the contract.
5. Ticket use, event cancellations/rescheduling, ticket resale
5.1 Customers must present the purchased ticket at the entry to the event location, together with a valid identification document. This applies in particular to events where only adult customers are admitted.
5.2 Purchased tickets are valid only for the event for which they were purchased, as well as for any alternative event dates planned by us, and become invalid after the end of the event. Exceptions may apply only if Rapunzel has stipulated different ticket validity terms prior to the conclusion of the contract.
5.3 Some Rapunzel events are for adult customers only. Rapunzel will indicate this during the order process and reserves the right to verify the Customer’s age.
5.4 We may cancel or reschedule an event at our reasonably exercised discretion if there exists an objectively justified reason, for example if the defined minimum attendance is not reached. If an event is cancelled, we will refund the ticket price to the Customer. If an event is rescheduled, the terms of section 5.5 apply. Refunds will be to the payment method chosen by the Customer when paying for the ticket.
5.5 Unless otherwise specified by us, if an event is rescheduled tickets remain valid for the new event date. Ticket purchase transactions will not be rescinded for reason of a rescheduled event, unless moving the event is objectively unacceptable for the Customer or the event has to be rescheduled for reasons within our control.
5.6 If an event is rescheduled or cancelled, we will advise Customers without delay, provided that the Customers have supplied us with their current contact details, in particular their email address, and updated their contact details if any changes occurred.
5.7 If Customers lose their ticket, we are not obliged to provide a replacement ticket.
5.8 Any commercial resale or public sale of tickets, in particular at internet auctions or on internet platforms (for example eBay, eBay Kleinanzeigen, etc.) is prohibited. Non-commercial resale is permitted, provided that the resale price does not exceed the original ticket price. If the Customer acts contrary to these provisions, we will have the right to exclude the Customer from the event.
6. Reservation of title
Tickets remain the property of Rapunzel until paid in full.
7. Force majeure
In any event of force majeure or other unforeseen circumstances, such as lawful strike or lawful employee lockout, epidemic/pandemic, official orders, natural disaster, war, etc., which temporarily prevent us, through no fault of our own or attributable to us, from delivering the tickets by the date or within the time agreed or from holding the event, these dates/times will be extended – including during the delay – by the duration of the interference caused by these circumstances. If performance is delayed by more than four (4) months as a result of such interference, both parties may withdraw from the contract. We will return any consideration rendered without delay. Nothing in this shall prejudice any statutory rights of withdrawal as may exist.
8. Warranty
The statutory warranty provisions apply, subject to the stipulation that we will only be liable for damages due to a defect to the extent that our liability is not excluded or limited under section 10.
9. Right of retention
Customers may only exercise a right of retention if their counterclaim is based on the same contract.
10. Liability, limitation of liability
10.1 We accept unlimited liability for any loss or damage caused by intent and gross negligence. In the event of a breach by ordinary negligence of a material obligation or of a secondary obligation whose breach will put the achievement of the contractual purpose at risk, or whose fulfilment is essential for the due and proper implementation of the contract, and on whose fulfilment the Customer could reasonably rely (“material secondary obligation”), our liability is limited to losses that are foreseeable and characteristic for the type of contract. We accept no liability for any breach by ordinary negligence of secondary contractual obligations which are not material secondary obligations.
10.2 The above liability disclaimers and limitations do not extend to any fraudulent concealment of defects, any guarantee as to quality and/or durability as may have been issued, to claims under the Product Liability Act, and to losses resulting from injury to life, body or health. This does not involve any reversal of the burden of proof to the Customer’s disadvantage.
10.3 Where our liability has been excluded or limited by these terms, this includes the personal liability of our executive bodies, statutory representatives, employees and vicarious agents engaged in the discharge of our duties.
11. Data privacy
We respect the Customer’s privacy. We collect and process the personal data required to process the order in strict compliance with the applicable legislation, in particular the EU General Data Protection Regulation (GDPR). Further information about the handling of personal data, including the Customers’ right to revoke their consent to data processing, is available to Customers in our privacy policy at https://shop.rapunzel.de/datenschutz.
12. Governing law, place of jurisdiction, severability
12.1 The governing law is German law to the exclusion of the UN Sales Convention. If the Customer is ordinarily resident in a contracting state of the European Economic Area other than Germany, the protection provided by the relevant provisions of the Customer’s country of residence, which cannot be derogated from by agreement, is maintained.
12.2 If the Customer is a trader, a legal person under public law or a public law fund, of if the Customer is a consumer and has moved his residence or habitual abode from Germany to a different country after the conclusion of the contract, or if the Customer’s residence or habitual abode is unknown at the time the legal proceedings are brought, the courts at Memmingen shall have exclusive jurisdiction over all disputes directly or indirectly arising out of the contractual relationship. However, we have the right to bring legal proceedings against the Customer before any other court having legal jurisdiction. Nothing in this shall prejudice the validity of any statutory provisions on exclusive jurisdiction.
12.3 If any part of these Terms & Conditions is or becomes invalid, nothing in this shall prejudice the validity of the remaining terms. Any invalid provision shall be replaced by the applicable statutory provision.
13. Online dispute resolution in consumer matters, alternative dispute resolution
13.1 The European Commission provides an online dispute resolution platform (“ODR platform”) at http://ec.europa.eu/consumers/odr/. The ODR platform allows consumers to solve disputes in connection with online orders without initially seeking recourse to a court. We can be reached by email at besucherzentrum@rapunzel.de
13.2 We are not prepared or obliged to take part in dispute resolution procedures before a consumer conciliation body under the Act on Alternative Dispute Resolution in Consumer Matters (Verbraucherstreitbeilegungsgesetz, VSBG).
